The Website and services are offered to any user or entity (“You”, “Your”, “Merchant”, “User”) subject to your acceptance of these Terms and the Privacy Policy. By accessing or using any part of the Website or the Services, You are deemed to have read, understood and accepted these Terms.

1. DEFINITIONS

For the purposes of these Terms:

• Account: A unique account created for You to access our Services.

• Affiliate: An entity that controls, is controlled by, or is under common control with Movinotech.

• Applicable Laws: All laws, regulations, rules, circulars, orders etc. issued by the Government or regulatory authorities of India, including without limitation the rules issued by RBI and NPCI.

• Company: Refers to PINNOX DIGITAL PRIVATE LIMITED, operating its services under the brand name “Movinotech”.

• Cookies: Small files placed on your Device that collect data about your browsing usage.

• Device: Any device capable of accessing the Website.

• Merchant: Any individual or entity registered with Movinotech for using its Services.

• Personal Data: Information related to an identifiable individual.

• Service(s): Includes payment aggregation, gateway services, API services, value-added services and any other solutions provided through the Website.

• Service Provider: Any third party who processes data or assists in providing the Service on behalf of Movinotech.

• User: Any visitor or registered user of the Website.

2. ACCEPTANCE OF TERMS

2.1 Before using the Website or any Services, You must read and accept these Terms and the Privacy Policy completely.

2.2 By using products, software, APIs or services provided by Movinotech or its partners, you agree that Movinotech will treat your use as acceptance of these Terms from the date of first use.

2.3 You must not use the Services if You do not agree with these Terms. If at any time You do not agree, Your only remedy is to discontinue use of the Website.

4. USE OF WEBSITE AND SERVICES BY THE USER

4.1 In order to use the Website or Services, You must:

• Register with accurate details and maintain confidentiality of login information.

4.2 You are solely responsible for all activities conducted under your Account, whether authorized by You or not. Movinotech will not be liable for any unauthorized use of your Account.

4.3 You agree to provide true, accurate, and complete information on the Website. If any information is false or misleading, Movinotech reserves the right to suspend or terminate Your account.

4.4 By providing Your contact details, You consent to receiving communications (email, phone calls, SMS, or other messaging) from Movinotech or its partners for service-related follow-up, offers, and marketing campaigns.

4.5 You authorize Movinotech to share your information with partner banks, financial institutions, service providers or vendors to provide the Services selected by You. Communications sent prior to your request to opt-out will not be affected.

4.6 For KYC and regulatory purposes, You agree to provide all documents and information requested by Movinotech or its facility providers. Movinotech may suspend services if KYC documents are insufficient or not provided upon request.

4.7 You are responsible for complying with all Applicable Laws, including RBI and NPCI guidelines, Prevention of Money Laundering Act, 2002, and any KYC/AML regulations.

4.8 Movinotech reserves the right to monitor, retain, or disclose any information as necessary to comply with Applicable Laws or governmental directions.

4.9 Failure to comply with KYC or regulatory requests may result in suspension of Services or withholding of settlements until required documents are submitted.

5. MOVINOTECH SERVICES

5.1 Movinotech provides various Services including but not limited to payment aggregation, payment gateway services, digital wallet integrations, and other value-added services. Specific terms applicable to each Service may be provided separately and will form part of these Terms.

5.2 Movinotech retains the right to modify, discontinue, or terminate any Services at any time without prior notice or liability to You.

5.3 You agree to use the Services only for lawful purposes. You may not use the Services to harm, disrupt or overload the Website or interfere with any other party’s use of the Services.

5.4 Movinotech is not responsible for any errors, interruptions, or delays caused by technical issues, third-party providers, or internet connectivity.

5.5 Movinotech may provide links to third-party services or websites. Use of such services is at your own risk and Movinotech will not be responsible for their content or operation.

5.6 You agree to indemnify Movinotech, its partners and affiliates against any claims arising out of Your use of the Services, breach of these Terms, or violation of any laws or third-party rights.

5.7 Movinotech’s total liability shall be limited to fees paid by You for the specific Service giving rise to the claim. Movinotech will not be liable for any consequential, incidental, or punitive damages.

5.8 These Terms are governed by Indian law. Courts at Pune, Maharashtra shall have exclusive jurisdiction over any disputes.

6. PAYMENT TERMS

6.1 Movinotech charges service fees which may be updated from time to time. All fees are exclusive of taxes.

6.2 Invoices for monthly fees will be provided on the dashboard. Any disputes must be raised within 10 days of invoice date.

6.3 You are responsible for reconciling all transactions daily. Discrepancies not reported within 3 working days will not be entertained.

6.4 Tax compliance: You are responsible for withholding taxes (TDS), furnishing Form 16-A, updating GST details on the dashboard, and ensuring GST credit eligibility.
